Terms & Conditions – FreightXport
Please read these Terms & Conditions ("Terms") carefully before using the FreightXport website and related services. These Terms form a draft framework for how FreightXport intends to operate as an enquiry-led B2B logistics and export marketplace and are subject to further legal review and confirmation of business details.
1. About FreightXport
1.1 Brand and business structure
FreightXport ("FreightXport", "we", "our" or "us") is the brand name for a planned enquiry-led B2B logistics and export marketplace operated as a sole proprietorship in Karnataka, India.
Business name: FreightXport
Tagline: Connect. Move. Grow.
Business structure: Sole proprietorship
Business location: Karnataka, India
1.2 Marketplace model
FreightXport is intended to facilitate discovery, enquiries and potential commercial connections between:
• Freight customers who have cargo to move;
• Transporters and truck owners who may be able to provide transportation services;
• Indian exporters who wish to promote export products; and
• International buyers who wish to explore and source products from India.
FreightXport is designed as an enquiry-led marketplace. It is not presented as a fully automated or live matching platform, and it does not itself provide freight, transportation, warehousing, customs, insurance, banking or export services.
1.3 No incorporation statement
FreightXport is currently operated as a sole proprietorship. These Terms do not describe FreightXport as a registered company or incorporated entity. The proprietor's legal name, registered business address, UPI ID, bank details, GSTIN, registration numbers, email address and telephone number are not included here and must be confirmed separately before publication.
2. Scope of the Marketplace and Role of FreightXport
2.1 Facilitation of enquiries and connections
The primary purpose of the FreightXport website is to:
• Allow freight customers to submit enquiries about freight requirements;
• Allow transporters and truck owners to express interest in relevant freight opportunities;
• Allow Indian exporters to present export product categories and receive sourcing enquiries; and
• Allow international buyers to explore export opportunities and submit enquiries.
FreightXport may, where feasible, help route enquiries, share basic information between interested users and facilitate introductions. Any resulting commercial discussions, negotiations or contracts take place directly between the users involved.
2.2 Distinction between enquiries, marketplace fees and user-to-user payments
It is important to distinguish between:
(a) Enquiries submitted to FreightXport – for example, a freight requirement, a transporter interest, an export product enquiry or a buyer sourcing request.
(b) Any facilitation or marketplace fees charged by FreightXport – for example, a fee for listing, promoting, routing or handling enquiries, where such a fee is clearly communicated in advance.
(c) Freight, transportation, product or export payments agreed directly between users – for example, payments from a freight customer to a transporter, or from an international buyer to an exporter.
FreightXport may charge its own fees for services it provides, but it does not become a party to the underlying freight, transportation or product sale contracts between users unless expressly agreed in writing.
2.3 No guarantees or operational claims
FreightXport does not guarantee and does not currently claim to provide:
• Live or real-time freight matching;
• Guaranteed transporter or truck availability;
• Product quality, suitability or fitness for purpose;
• Cargo safety, insurance coverage or loss/damage protection;
• Delivery times, transit durations or route choices;
• Payment by any counterparty;
• Export, import or customs compliance; or
• Successful completion of any transaction.
FreightXport does not claim to operate shipment tracking, bidding, escrow, automatic quotation management or member-specific enquiry history unless and until such features are actually implemented, tested and described in updated Terms.
Having said that, Terms and Conditions (“T&C”) are a set of legally binding terms defined by you, as the owner of this website. The T&C set forth the legal boundaries governing the activities of the website visitors, or your customers, while they visit or engage with this website. The T&C are meant to establish the legal relationship between the site visitors and you as the website owner.
T&C should be defined according to the specific needs and nature of each website. For example, a website offering products to customers in e-commerce transactions requires T&C that are different from the T&C of a website only providing information (like a blog, a landing page, and so on).
T&C provide you as the website owner the ability to protect yourself from potential legal exposure, but this may differ from jurisdiction to jurisdiction, so make sure to receive local legal advice if you are trying to protect yourself from legal exposure.
4. Freight Requirements, Transporters and Export Opportunities
4.1 Freight requirements and transportation arrangements
Freight customers are responsible for ensuring that any freight requirements submitted through the website are accurate, lawful and complete, including details such as:
• Type of cargo and packaging;
• Origin and destination locations;
• Approximate weight, volume and handling needs;
• Any special conditions, permits or restrictions.
Any transportation arrangements, including pricing, routes, schedules, insurance and liability, must be agreed directly between the freight customer and the transporter or truck owner. FreightXport is not a carrier, transporter, freight forwarder or customs broker.
4.2 Transporter and truck-owner representations
Transporters and truck owners who use the website are responsible for:
• Ensuring that they hold all necessary licences, permits and approvals to operate;
• Providing accurate information about their services, fleet and capabilities;
• Complying with applicable road transport, safety and labour laws; and
• Entering into clear written agreements with freight customers where required.
FreightXport does not independently verify every transporter or truck owner and does not guarantee their performance, safety record, insurance coverage or financial standing.
4.3 Export product descriptions and buyer sourcing enquiries
Indian exporters are responsible for ensuring that any product descriptions, images and claims they provide are accurate, lawful and not misleading. This includes:
• Correct product names and categories;
• Honest descriptions of quality, specifications and origin;
• Compliance with applicable export, labelling and safety regulations.
International buyers are responsible for conducting their own due diligence on exporters and products, including verifying quality, certifications, logistics arrangements, customs requirements and payment terms.
4.4 Independent assessment of counterparties
All users are strongly encouraged to independently assess the suitability, reliability and creditworthiness of any counterparty before entering into a transaction. This may include:
• Requesting references, certifications or licences;
• Conducting background checks or site visits where appropriate;
• Seeking professional advice on contracts, tax and compliance.
FreightXport does not become a party to user-to-user contracts unless expressly agreed in writing and does not assume responsibility for disputes between users.
Generally speaking, T&C often address these types of issues: Who is allowed to use the website; the possible payment methods; a declaration that the website owner may change his or her offering in the future; the types of warranties the website owner gives his or her customers; a reference to issues of intellectual property or copyrights, where relevant; the website owner’s right to suspend or cancel a member’s account; and much, much more.
